What is ‘Vialto Partners’?
Vialto Partners is a trademark of CD&R Galaxy UK Opco Limited (Vialto UK) under which the Vialto entities operate and provide professional services. Collectively, Vialto UK and these other Vialto entities comprise the Vialto Partners network. “Vialto Partners”, depending on context, may refer to the Vialto Partners network as a collective or to individual Vialto entities.
In many parts of the world, entities that provide services like those of Vialto Partners are required by law to be owned by local professionals. While some parts of the Vialto Partners network operate as a corporate multinational, the entire Vialto Partners network does not and cannot currently operate as such.
For these reasons, the Vialto Partners network consists of both legal entities wholly owned by Vialto UK, similar to the structure of a multinational company, as well as separate, locally owned legal entities. The entities that make up the network are committed to working together to provide quality service offerings for clients throughout the world. Entities in the Vialto Partners network are either subsidiaries, affiliates of or have other connections to Vialto UK. Vialto UK provides services to clients and facilitates coordination between member entities in the Vialto Partners network. Focusing on key areas such as strategy, brand, and risk and quality, Vialto’s management team develops and implements policies and initiatives to achieve a common and coordinated approach among individual entities where appropriate. Vialto UK, its subsidiaries and the locally owned entities in the network can use the Vialto Partners name and the resources and methodologies of the Vialto Partners network are made available to them. In addition, all entities within the Vialto Partners network, whether wholly or locally owned, may request the resources of other network entities and/or secure the provision of professional services by other entities within the network. In return, entities, including those that are locally owned, agree to abide by certain common policies and to maintain the standards of the Vialto Partners network as put forward by Vialto UK.
The Vialto Partners network is not one international corporation or partnership and Vialto entities are not otherwise legal partners with each other. Vialto entities may have legally registered names which contain “Vialto” or “Vialto Partners” without any ownership by Vialto UK. Such entities cannot act as agent of Vialto UK or any other Vialto entity, cannot obligate Vialto UK or any other Vialto entity, and is liable only for its own acts or omissions and not those of Vialto UK or any other Vialto entity. Similarly, Vialto UK cannot act as an agent of any such Vialto entity, cannot obligate any such Vialto entity, and is liable only for its own acts or omissions.
